CONSTITUTION

OF

SOUTH CAROLINA SENIOR WOMEN’S

GOLF ASSOCIATION

 

ARTICLE I – NAME

SECTION 1.  This Association shall be called the South Carolina Senior Women’s Golf Association.

 

ARTICLE II – OBJECTS

SECTION 1.  The objects of the Association shall be to encourage friendly golf competition and good fellowship among senior players and to hold an Annual Championship and such other events as the Board of Directors shall decide.

 

ARTICLE III – MEMBERSHIP

SECTION 1.  Any woman amateur golfer, who has reached the age of fifty years, is a legal resident of the State for at least six months each year, and holds a current USGA Handicap Card is eligible for membership subject to the Membership Committee procedure.  Six month residents may play in any one-day tournament.  Only full time South Carolina residents may play in the Championship Tournament.

 

SECTION 2.  The membership of this Association shall be limited to 400 members, excluding Honorary and Special Categories.

 

SECTION 3.  Any member may be expelled from the Association by the Board of Directors upon written notice of the charges against her and due opportunity to be heard.

 

SECTION 4.  Membership requirements must be met annually to retain membership in this Association, unless special exemption has been given by the Board of Directors.  A member shall be required to play in a minimum of one Senior Tournament each calendar year.

 

SECTION 5.  Members in good standing for five years, who can no longer compete in tournament play, upon payment of annual dues, may become an Associate Member.  Such membership entitles her to attend all social events, but is a non-voting member.

 

ARTICLE IV – DUES

SECTION 1.  The annual dues shall be fixed by the Board of Directors.

 

SECTION 2.  A statement of annual dues for each year shall be mailed to members and is due and payable upon receipt.  Any member failing to pay said dues by the stated deadline shall cease to be a member of the Association and her name shall be removed from the roll of members.  Membership may be reinstated only upon re-application to the Membership Chairman.

 

ARTICLE V – BOARD OF DIRECTORS

SECTION 1.  The management of the affairs of the Association shall be vested in a Board of up to fifteen Directors.  It shall consist of the Officers, the Past President, the Past Tournament Chairman, the current Tournament Chairman, the Membership Chairman, Assistant Membership Chairman, the Attendance Chairman, the Website Administrator, and four Members-At-Large, two of whom shall be elected annually.  Each of these fifteen shall have one vote at Board meetings.

 

SECTION 2.  At each annual meeting of the Association, four members shall be elected to the Board of Directors for a term of two years to succeed the members whose terms shall then expire.  No elected member of the Board of Directors shall serve more than two full terms in succession.  Election shall be a majority vote of members present at the annual meeting.

 

SECTION 3.  The Board of Directors shall meet on the day preceding the annual meeting.  Other special Board meetings shall be at the request of the President or at the request of any four members of the Board.  Notice shall be given to all Board members by the President or Secretary of any meeting of the Board.

 

SECTION 4.  A quorum of the Board shall consist of six members for the purpose of transacting business at any meeting of the Board.

 

 

SECTION 5.  The unexpired term of any member of the Board of Directors shall be filled at the discretion of the President.

 

SECTION 6.  The President, upon entering office, shall appoint a Championship Tournament Chairman, a Membership Chairman, an Attendance Chairman, and a Website Administrator.  The Membership Chairman shall appoint an Assistant Membership Chairman.  Other Assistants may be appointed but will be non-voting.

 

SECTION 7.  Membership Chairman may appoint as many committee members as she needs to assist her in sending out dues notices and keeping attendance records and any other duties for which she is responsible.

 

ARTICLE VI – OFFICERS

SECTION 1.  The Officers of the Association shall consist of President, President-Elect, Treasurer and Secretary, each of whom shall be elected at the annual meeting to serve two years.

 

SECTION 2.  The President shall preside at all meetings of the Association and the Board of Directors and in general shall perform the duties incident to her office.  She shall be an Ex-Officio member of all committees.

 

SECTION 3.  The President-Elect shall in the absence of the President or at her request perform the duties of the President; she shall be responsible for securing a bona-fide invitation to host the Championship Tournament in writing at least a year in advance.  She shall serve as Parliamentarian.

 

SECTION 4.  The Secretary shall keep full, complete and accurate records of all meetings of this Association, including meetings of the Board of Directors.  She shall mail copies of the minutes of the meetings to all members of the Board of Directors.

 

SECTION 5.  The Treasurer shall receive all monies of the Association and disburse the same.  She shall report in writing the finances of this Association at all meetings.

 

ARTICLE VII – MEETINGS

SECTION 1.  The annual meeting for the transaction of business and the election of members of the Board of Directors shall be held the evening of the qualifying day of the Annual Championship Tournament.

 

SECTION 2.  The order of business at each annual meeting shall be as follows:

  1. Reading of Minutes
  2. Report of President
  3. Report of Treasurer
  4. Report of Membership Committee
  5. Report of Committees
  6. Unfinished Business
  7. New Business
  8. Election of Officers and Members of the Board.

 

SECTION 3.  A majority of the membership participating in the Annual Championship Tournament shall constitute a quorum for the annual meeting.

 

ARTICLE VIII – NOMINATIONS

SECTION 1.  Nominations for members of the Board of Directors shall be made by the Nominating Committee not less than fifteen days prior to the annual meeting and reported to the President.  The Committee shall consist of the past President serving on the Board of Directors and the two preceding Presidents.

 

SECTION 2.  Nominations may come from the floor at the annual meeting if accompanied by an agreement to serve if elected.

 

ARTICLE IX – AMENDMENTS

This Constitution may be amended or suspended at any annual meeting of the Association, by a majority of votes cast, provided written notice thereof is given to each member not less than ten days prior to the meeting.  This Constitution may also be amended by mail: ballots shall be mailed to the entire membership and a majority of those ballots returned must be favorable to make a Constitutional change.

 

ARTICLE X – DISSOLUTION

This Association shall continue until the event of dissolution by its members, at which time the entire assets of the Association together with any and all accumulations thereto, shall be distributed to such charitable organizations as are described in Section 501 (c) (3) of the Internal Revenue Code.

BY-LAWS

OF

SOUTH CAROLINA SENIOR

WOMEN’S GOLF ASSOCIATION

 

ARTICLE I – STANDING COMMITTEES

 

SECTION 1.  NOMINATING COMMITTEE:  The Nominating Committee shall consist of three immediate Past Presidents of which the immediate Past President shall serve as Chairman.  The duties shall be to present a list of candidates for all offices vacated at the end of their current term.  This slate shall be presented at the Annual Meeting of the Association.  Nominations from the floor shall also be in order.

 

SECTION 2.  TOURNAMENT COMMITTEE:  The Tournament Committee Chairman may appoint as many committee members as she may need.  The Tournament Committee, in consultation with the President of the Association, and with reference to previous committee records obtained from the former Tournament Chairman, shall be responsible for all preliminary arrangements incidental to the State Championship Tournament.  This includes the arranging of the schedule of events and the purchase of prizes.

 

SECTION 3.  MEMBERSHIP CHAIRMAN:  The Membership Chairman may appoint as many committee members as she may need to assist her in sending out dues notices and keeping attendance records and other duties for which she is responsible.

 

ARTICLE II – AMENDMENTS

 

SECTION 1.  The By-Laws may be amended or suspended by a two-thirds majority of all votes cast at any Annual Meeting or by mail ballot, provided that written notice has been given to each member ten (10) days prior to the vote.

 

SECTION 2.  Amendments may be made at any Annual Meeting without previous notice by 95% of all votes cast.
